Terms of Service
Effective September 23, 2026
These terms govern your use of SNAFU Agency LLC’s (“SNAFU”, “we”, “us”) website snafu.agency (the “Site”) and SNAFU Studio at app.snafu.agency, our client portal (the “Portal”). By using them you agree to these terms, for yourself and any company you represent. Our Privacy Policy explains how we handle personal information.
Your signed agreement comes first. If you are a client or vendor, our work together, including fees, is governed by your signed agreement with us (such as a Master Services Agreement, Statement of Work, or freelancer agreement). If these terms conflict with that agreement, the signed agreement wins. Using the Site and the Portal is free.
Using the Portal
Portal access is by invitation only. Keep your sign-in details secure and do not share your account. You are responsible for activity under it.
Tell us through our contact form if you think your account has been misused.
We may change or discontinue any part of the Site or Portal, and may remove access that is misused, no longer needed (for example, when a project ends), or a security risk.
Third-party services we connect to (such as Google sign-in, scheduling, e-signature, and social media) are governed by their own terms, and we are not responsible for them.
Acceptable use
Do not break the law or infringe others’ rights; upload malware or content you have no right to share; access accounts or data that are not yours or bypass our security; overload, scrape, or reverse-engineer the Site or Portal; or share private review or proposal links with people not meant to see them.
Content
Yours. You own the files and feedback you upload, and confirm you have the right to share them. You let us host, copy, display, and process them only to provide the Portal and do the work you hired us for.
Ours. The Site, the Portal, and our own designs, text, logos, and software belong to SNAFU or our licensors.
Work we create for you. Ownership and licensing of deliverables are set by your signed agreement. Drafts, proposals, and decks shown for review remain ours until that agreement says otherwise.
Confidential. Do not share our proposals and decks outside your organization without our permission.
Disclaimers
THE SITE AND PORTAL ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THEY WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA WILL NEVER BE LOST. KEEP YOUR OWN COPIES OF IMPORTANT FILES.
Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, SNAFU WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SITE OR PORTAL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR PORTAL IS LIMITED TO ONE HUNDRED US DOLLARS (US $100). THIS SECTION DOES NOT APPLY TO LIABILITY UNDER YOUR SIGNED AGREEMENT WITH US, WHICH HAS ITS OWN LIMITS.
Indemnity
You will defend and hold SNAFU harmless from claims arising from your content or your breach of these terms.
Governing law
New York law governs these terms, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts in New York County, New York, and you and we consent to their jurisdiction.
Changes and ending access
We will post updates here with a new effective date and tell Portal users about material changes. Continuing to use the Site or Portal after a change means you accept it. We may end your access if you break these terms. The Content, Disclaimers, Limitation of liability, Indemnity, and Governing law sections survive.
General
These terms, the Privacy Policy, and any signed agreement with us are the entire agreement about the Site and Portal. If any part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them in a reorganization or sale of our business.
